(“Quintessential Canada”, “we”, “us” or “our”), including QuintessentialCanada.com, WineBox.ca and WoodBox.ca (collectively, the “Websites”). By accessing or using any of the Websites, you agree to these Terms of Use. If you do not agree with these terms, please do not use the Websites.
1. Purpose of the Websites
The Websites provide information about Quintessential Canada, our wooden boxes, packaging, customization capabilities, manufacturing services, portfolio, and related products and services. Certain Websites may also provide tools that allow visitors to request quotations, configure products, calculate estimated pricing, submit artwork or specifications, or place orders.
Website content is provided for general information and commercial purposes. Information on the Websites does not constitute a binding offer unless we expressly state otherwise.
2. Website Use
You may use the Websites for lawful personal or business purposes related to learning about, obtaining quotations for, or purchasing our products and services.
You may not misuse the Websites, interfere with their operation or security, attempt unauthorized access, introduce malicious code, scrape or systematically extract Website content for commercial reuse, impersonate another person or organization, or use the Websites for unlawful, fraudulent or abusive purposes.
We may restrict or terminate access to any Website where we reasonably believe these Terms of Use have been violated.
3. Product Information and Images
We make reasonable efforts to ensure that descriptions, photographs, dimensions, specifications and other product information displayed on the Websites are accurate. However, photographs and digital displays may not reproduce colours, grain, texture or finishes exactly.
Wood is a natural material. Variations in grain, colour, knots, mineral markings, texture and other natural characteristics are expected and are not defects. Samples and Website photographs are representative and cannot guarantee an identical appearance in every production piece.
Product designs, materials, components, dimensions and specifications may be changed or discontinued from time to time without notice, subject to any specifications expressly agreed to for an accepted order.
4. Pricing, Calculators and Online Estimates
Prices, calculators, configuration tools and quotation tools displayed on the Websites are intended to assist customers in estimating product costs. Unless expressly identified as a final accepted order price, online pricing and calculations are estimates and are subject to verification.
Pricing may depend on dimensions, quantity, materials, construction, finishing, branding, inserts, hardware, shipping, taxes and other specifications. Errors in Website pricing, calculations or product information may be corrected at any time.
A quotation, estimate, shopping cart, configuration or online submission does not obligate Quintessential Canada to manufacture or supply a product until the order has been reviewed and accepted by us. Where a written quotation or order confirmation differs from general Website information, the written quotation or order confirmation will govern.
5. Custom Products and Orders
Many of our products are manufactured or customized to customer specifications. Customers are responsible for reviewing and confirming dimensions, quantities, materials, construction details, finishes, branding, artwork, spelling and other specifications before production.
Once a custom order has entered production, changes or cancellations may not be possible and additional charges may apply. Custom-manufactured or personalized products may not be returnable except where required by law or where we have expressly agreed otherwise.
Production and delivery dates are estimates unless expressly guaranteed in writing. Lead times may be affected by material availability, order complexity, customer approvals, carrier delays and circumstances beyond our reasonable control.
6. Artwork, Logos and Customer-Supplied Content
When you provide us with a logo, trademark, photograph, artwork, design, text or other content for reproduction on a product, you represent that you own the content or have permission and all necessary rights to use and reproduce it for the requested purpose.
You authorize Quintessential Canada to reproduce, adapt, resize or otherwise process the supplied content as reasonably necessary to prepare proofs and manufacture your order.
You are responsible for the accuracy and legality of customer-supplied content. We may decline to reproduce content that we reasonably believe is unlawful, infringing, misleading, hateful, obscene or otherwise inappropriate.
Unless separately agreed, ownership of customer-supplied intellectual property remains with the customer or its respective owner.
7. Proofs and Approvals
Where we provide an artwork proof, drawing, sample, prototype or specification for approval, the customer is responsible for reviewing it carefully before approval. Approval authorizes us to proceed based on the approved information.
The customer is responsible for errors that were visible in an approved proof or specification, including spelling, dates, names, logo placement, dimensions and other approved details. Changes requested after approval may result in additional charges and revised production schedules.
8. Manufacturing Tolerances
Wood products and custom manufacturing involve reasonable production tolerances. Minor variations in dimensions, colour, grain, engraving, branding position, hardware placement and other characteristics may occur between individual pieces or production runs.
Such reasonable manufacturing and natural-material variations do not constitute defects, provided the products substantially conform to the agreed specifications.
9. Intellectual Property
Unless otherwise indicated, the Websites and their original content, including text, photographs, graphics, product images, layouts, designs, logos, videos, illustrations and Website presentation, are owned by Quintessential Canada and are protected by applicable intellectual property laws.
You may view, print or save Website content for your own legitimate personal or business evaluation of our products. You may not reproduce, republish, distribute, sell, modify or commercially exploit our Website content without prior written permission.
Customer trademarks, logos and artwork appearing in portfolio photographs or examples remain the property of their respective owners. Their appearance does not imply ownership by Quintessential Canada.
10. Portfolio and Examples
Images of completed projects may be displayed to demonstrate our manufacturing capabilities, materials, construction methods and customization options. Unless expressly stated, a displayed project does not imply endorsement of Quintessential Canada by the customer, brand or organization shown.
If confidentiality or restrictions on publication are part of a customer arrangement, the applicable written agreement will govern.
11. Website Availability and Accuracy
We aim to keep the Websites available and information current, but we do not guarantee uninterrupted access, error-free operation or that all information will always be complete or current.
We may update, modify, suspend or discontinue Website content, features or functionality at any time. We may also correct typographical, pricing, technical or other errors when discovered.
12. Disclaimer
To the extent permitted by applicable law, the Websites and their content are provided on an “as is” and “as available” basis. We make no warranties regarding uninterrupted Website availability or that Website content will be free from errors.
Nothing in these Terms of Use excludes or limits any warranty, condition, right or remedy that cannot lawfully be excluded or limited under applicable consumer protection or other legislation.
13. Limitation of Liability
To the extent permitted by applicable law, Quintessential Canada Inc. and its directors, officers, employees and representatives will not be liable for indirect, incidental, special, consequential or punitive damages arising solely from access to or use of, or inability to use, the Websites.
This limitation does not apply where liability cannot legally be excluded or limited. Terms applicable to the manufacture, sale or delivery of particular products may also be set out in a quotation, order confirmation, invoice or other written agreement.
14. Privacy
Your use of the Websites is also subject to the Quintessential Canada Inc. Privacy Policy. The Privacy Policy explains how we collect, use, disclose and protect personal information associated with the Websites and our business activities.
15. Governing Law
These Terms of Use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Subject to any rights that cannot legally be waived, disputes relating to these Terms of Use or the Websites will be subject to the jurisdiction of the courts of Ontario, Canada.
16. Changes to These Terms
We may update these Terms of Use periodically to reflect changes to our Websites, business practices or legal requirements. The current version will be posted on the Websites with its effective date. Continued use of a Website after an updated version is posted constitutes acceptance of the updated Terms of Use to the extent permitted by law.
